Please read the following terms carefully. By submitting your details and engaging our services, you agree to be bound by these conditions.

01 Introduction & Acceptance

These Terms of Use (“Terms”) govern your use of services provided by Chattertools, an AI creative services provider based in Vadodara, Gujarat, India. By submitting your details through our inquiry or onboarding form, you confirm that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree with any part of these Terms, please do not submit your details or engage our services.

Submitting the contact or inquiry form on this website constitutes your acceptance of these Terms and forms the basis of a binding agreement between you and Chattertools.

02 Services Offered

Chattertools provides AI-assisted promotional creative services to jewelry retailers and businesses. Services include, but are not limited to:

• AI model-based jewelry promotional images
• Short promotional video reels for social media platforms
• Festival and seasonal campaign creatives
• Bridal and wedding collection promotional visuals
• WhatsApp marketing creatives and catalogue content
• Social media-ready content sized for Instagram, Facebook, and WhatsApp
• Facebook and Instagram paid ad creatives

All services are delivered digitally. Chattertools reserves the right to modify, add, or discontinue any service offering at its sole discretion with reasonable prior notice.

03 Client Responsibilities

As a client engaging Chattertools’ services, you agree to the following obligations:

• Provide clear, high-resolution product images within 2 days of payment realization
• Supply all necessary creative references, brand guidelines, color preferences, and instructions prior to production
• Ensure that all product images and materials submitted are owned by you or that you hold the rights to use them
• Respond to communications from Chattertools in a timely manner to avoid production delays
• Review and approve creative templates before full production commences

Important: Failure to provide required materials within the stipulated time may result in production delays. Chattertools shall bear no liability for delays caused by the client’s failure to supply materials on time.

04 Payment Terms

All payments are governed by the following conditions:

• Full payment must be completed prior to commencement of any project or creative work
• Accepted payment methods: online bank transfer or approved digital payment platforms only
• Cash payments are not accepted under any circumstances
• For quarterly billing, the full quarterly amount is payable upfront at the time of agreement
• Invoices will be issued by Chattertools upon confirmation of the selected service package
• All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise

05 Delivery & Corrections Policy

Chattertools follows a structured production and delivery process:

• Final creatives are delivered within 48 hours after receiving all required materials from the client
• All images are delivered in PNG format; all videos/reels in MP4 format
• Creatives are sized and optimized for Instagram, Facebook, and WhatsApp
• Creative templates are finalized and approved by the client before production begins

Correction Charges: 

Any correction requests arising from incomplete, missing, or unclear instructions provided by the client will be charged at ₹500 per correction. Corrections arising from errors made by Chattertools will be addressed at no additional charge.

06 Refund & Cancellation Policy

By engaging our services, you acknowledge and agree to the following refund and cancellation terms:

• All payments are strictly non-refundable once project work has commenced
• If a client fails to provide required product images or materials within 7 days of payment, the payment shall be treated as forfeited
• Cancellation of a monthly subscription must be communicated in writing at least 7 days before the next billing cycle
• No refunds will be issued for partially utilized monthly or quarterly packages
• Chattertools reserves the right to cancel a service engagement with 15 days’ written notice

07 Intellectual Property

All creative templates, AI workflows, production methodologies, tools, and systems developed and used by Chattertools remain the exclusive intellectual property of Chattertools.

Upon full payment, the client is granted a limited, non-exclusive, non-transferable licence to use the delivered creative images and videos solely for their own business social media promotion and marketing. The client may not:

• Resell, sublicense, or redistribute the creatives or underlying templates to third parties
• Use the creatives in ways that violate applicable laws or third-party rights
• Claim ownership of the AI workflows, templates, or production methods used

Chattertools reserves the right to display completed creatives in its portfolio and marketing materials unless the client submits a written objection within 7 days of delivery.

08 Data & Privacy

By submitting your details through this form, you consent to Chattertools collecting and using your information for the purpose of providing its services and communicating with you regarding your engagement.

• Personal details (name, email, phone, business information) are collected solely for service delivery and communication purposes
• Product images and creative references shared by the client will be used exclusively for producing the agreed deliverables
• Chattertools will not sell, trade, or share your personal information with third parties without your consent, except as required by law
• All data is stored securely and handled in accordance with applicable data protection regulations

09 Confidentiality

Both Chattertools and the client agree to keep confidential all business information, creative strategies, pricing details, and proprietary workflows shared during the course of the engagement.

This confidentiality obligation shall survive the termination of the service relationship for a period of two (2) years. Neither party shall disclose, reproduce, or use the other party’s confidential information for any purpose other than fulfilling the agreed services.

10 Limitation of Liability

Chattertools provides creative services on an “as delivered” basis. To the fullest extent permitted by law:

• Chattertools shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of delivered creatives
• Chattertools does not guarantee specific marketing outcomes, engagement metrics, or business results from the use of delivered creatives
• The total liability of Chattertools under any claim shall not exceed the total fees paid by the client in the calendar month in which the claim arose
• Chattertools is not responsible for platform policy changes on Instagram, Facebook, or WhatsApp that may affect the use of delivered creatives

11 Amendments to Terms

Chattertools reserves the right to update or modify these Terms of Use at any time. Clients will be notified of material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.

It is the client’s responsibility to review these Terms periodically. The most current version of these Terms shall always be available on the Chattertools website.

12 Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or in connection with these Terms or the services provided by Chattertools shall be subject to the exclusive jurisdiction of the courts located in Vadodara, Gujarat, India.

Before initiating formal legal proceedings, both parties agree to make a good faith effort to resolve disputes through direct communication and negotiation.
